The relationship between the issues is expressed in terms of conditional probability. In the example above, in the real world, we would anticipate it is very likely that IF combined firms have good strategic logic (Combining firms has good strategic logic) THEN the combined firms would deliver good value (Combined firms’ performance delivers good value).

In this M&A example, we use several layers of reasoning from base information that is measurable in the real world, to aggregated ones, such as Production Operation Similarity.

Almost all objects in the system can be annotated with external links to web pages, PDF, images, spreadsheets, etc.

Human expertise is combined with the AI logic in the form of workshop based and individually identified experts in client organisations answering questionnaires to be built into the AI.

Above shows the observations made with respect to all of the issues contained in the questionnaire. Where there is colour there is information. More colour = more certainty. No colour = no data.

Predict early to identify the risks and save costs

A client used a recent example of a takeover on which they were the corporate advisor.  The acquirer was a AUD $350m Enterprise Value ("EV") listed entity, the target a AUD $75m EV listed entity, in the same industry sector. The takeover had completed earlier and earnings and other results were beginning to become apparent.

They found the Decision Point AI methodology thoughtful and comprehensive. In particular, the program asked for a broad range of non-financial factors to be considered, some of which they found were not usually quantified in pre-acquisition analysis of takeovers, but should be.   Acquirers and advisors alike tended to focus on easily quantifiable factors, such as EPS accretion/dilution and return on shareholders' funds. The Decision Point AI methodology could be helpful to assist acquirers and advisors alike in assessing longer term benefits, to each of the employees, clients and shareholders of each entity – acquirer and target.

Creating the POC takes 6-8 weeks depending upon complexity and access to subject matter experts within the the client company and involves both workshops and once identified expert questionnaires. WASHINGTON, DC, USA, June 13, 2019 / — Promoted as “legal” and “safe” synthetic marijuana, also called K2, Spice or Scooby Snax, is neither legal nor safe, though growing in usage. K2 is not marijuana as there are no marijuana plant leaves at all in this drug. It is more correctly called a synthetic cannabinoid.

Synthetic drugs are made up of shredded plant material, which is then sprayed with devastatingly harmful man-made chemical poisons intended to simulate THC, the mind-altering ingredient found in the marijuana plant.

The broad term “synthetic cannabinoids” refers to a list of 225 currently known man-made chemical compounds designed to mimic THC. The list keeps growing as those making the compounds try to keep ahead of law enforcement’s efforts to label each compound as illegal. Additionally, one never knows what has been sprayed on the plant material or how much. Even inside the same batch, the strength and reactions can vary.

The Center for Behavior Health Statistics reported that emergency room visits doubled between 2010 and 2011 due to synthetic drugs with 28,531 ER visits in 2011 – 78% were among adolescents and young adults aged 12-29. Although current statistics are not available, the increasing problem was shown in 2018 in Washington, DC, where more than 1,600 people were transported to emergency rooms by ambulance in a two month period of time with five deaths in one week alone. Mayor Muriel Bowser proposed emergency legislation to prohibit the sale of synthetics in local stores, which was swiftly passed.

An American College of Emergency Physicians survey in 2016 reported more than 95% of responding physicians said the number of patients they had treated for synthetic drug use either had increased (61%) or remained the same (35%) since 2014. Most alarming, 87% reported seeing violent acts and 42% had staff injured within the last year by patients using these drugs.

The National Institute on Drug Abuse reports suicidal thoughts, violent behavior, paranoia and hallucinations as just some of the results from synthetic cannabinoids (K2/spice) use.

“Taking K2/Spice is like playing Russian roulette, because you never know when a hit will be deadly,” said Thalia Ghiglia, advocacy director of the Drug-Free World program in Washington, DC.

“How can we stand by while our youth join the tens of thousands of people across the country having severe reactions and ending up in hospital emergency rooms or in some cases mental hospitals or the coroner’s office?” she continued.

“Education is the key to the help that is needed to save our youth,” Ms. Ghiglia said.

DISTRICT OF COLUMBIA, UNITED STATES, June 13, 2019 / — In order to rebuild our Manufacturing Industry, create manufacturing jobs, make greater profits, pay higher salaries, and give employees greater freedom, we must change our Healthcare Industry and the way we pay for it.

The United States cannot compete with other industrial countries because our manufacturing costs of goods is higher than their selling prices of a similar good. Our manufacturing costs have increased year after year during the past three decades because our national health care expenditures have increased during this same period, while the international competitors have maintained low health care expenditures. The reason is they are on a single-payer health care system while we are not. Our country's national healthcare expenditures are eighteen percent of the GDP on health care, while other industrial countries average about seven percent of gross domestic product. Our manufacturers incur the costs of healthcare into the price of manufactured goods, while our international competitors do not.

In the United States, the majority of health care costs are paid by employers. Employer health care costs come in two categories, direct costs, the costs paid for the employees' benefits, and indirect costs, the health care costs included in products or services they purchase from others, and Social Security costs. All goods or services that are utilized have built into its price direct costs of health care for its employees and indirect costs.

All manufacturers must sell their products at a price above their cost break-even line. Any cost incurred by a manufacturer is marked up a reasonable amount to set the selling price, cover taxes, cover product over-runs, and make a profit. For this discussion, I am going to use a forty percent markup.

Our country spends eighteen percent of the GDP on health care, while other industrial countries only spend six percent. Our nation used to spend the same percentage as other nations but that was prior to the industry giving secret kickbacks to the insurance companies for referring their insured members to the providers. When you mark up the eighteen percent by an additional forty percent, the total cost of the direct and indirect cost goes to about twenty-five percent of total manufacturing costs.

Since 1982 the health care industry increased its share of the GDP from seven percent to today's eighteen percent. Correspondently manufacturing industry decreased its share of the GDP from thirty-four percent to twenty-three percent. The healthcare industry adapted the restraint of trade practices, eliminating competition between parties. The actual competition was which provider was going to give the insurance companies the largest kickback in order for the providers to have access to the insured members.

As the manufacturing marginal costs became greater than the competitive prices of similar goods due to increased health care costs increases the companies closed and filed for bankruptcy. The Federal Trade Commission and the Department of Justice were negligent in not recognizing the harm one industry was doing to another industry. Our antitrust laws are not only meant to protect us from one company becoming dominant in one industry but also to protect another industry from being damaged by a rival industry. The DOJ did not even recognize the price discrimination between private-pay patients, the actual difference collected from uninsured patients and insured patients.

The legislative branch of our government got into the health care business in 1965 but failed to control the costs spent on health care. There is an axion that states: when the government goes into business it never fails but passes on its losses to the people by increasing taxes. This is what happened with Medicare and Medicaid. There was an early warning sign in 2006. The amounts listed on the beneficiaries' bills were causing problems. The General Accounting Office was charged with determining the costs for Medicare Part B hospital out-patient services. In their report to Congress it noted that if it would be allowed to recompute the Medicare Part A hospital in-patient services, Medicare could save seventy-two percent for this program. This fact was never acted on and completely ignored. Today, the could save figure would be closer to eighty-five percent.

To bring back our manufacturing industry, create new companies and increase production of manufactured goods for export, we must lower our national health care costs to that of other nations, which are now part of and paid for below the manufacturers' cost break-even points and move them above the cost break-even point; like other nations we must pay for health care out of profits. Not only health care costs but all costs employer pays associated with its employees, including Federal Insurance Contributions Act (FICA). Our international competitors have already done this and their goods are more competitively priced.

We can produce goods at lower prices than our international competitors. It is a fact we still have a high productivity rating, due to the adaptation of automation, a well-trained labour force, a very strong infrastructure supporting businesses and low energy costs. We have been investing in better technology and greater automation, but our international competitors have been investing in new technologies and automation. We have trillions of dollars waiting and looking for the coming of a second industrial revolution in the United States and a rebirth of our manufacturing dominance.

Lowering corporate taxes is a benefit to existing businesses, giving them a short-term profit. But, lowering taxes does not lower the cost of manufacturing because it only affects the revenues above the cost break-even line. The Congressional Budget Office has just revised the forecast downward for the creation of new jobs because of the latest tax refund legislation and increased the increase to the national debt from $11.5 billion to $13.5 billion for the next ten years.

When these recommendations for a single payer system and revised tax system are implemented there will be many changes taking place, some good and some bad. On the good side, everyone will be covered for health care, people with pre-existing conditions will be covered and people will have their choice of the healthcare provider. Employees with existing illnesses or disabling skills will be able to get jobs and hold on to them with their skills to produce. The money allocated to the employees for health care will be paid to them in the form of higher wages, about $10 thousand per employee, plus FICA taxes. The salary increase will be the biggest recorded in our nation's history while creating a huge consumer group flush with money. The 1.7 million bankruptcies personal bankruptcies due to health care costs will be eliminated. The 25 percent of administrative health care expenditures for billing and collecting will be eliminated. The national health care expenditure will be cut in half or lower. The trade deficit will be eliminated. The National Debt will be lowered. With universal healthcare, all employees will have greater freedom of choice of where they work and not have to worry about changing jobs with a loss of medical coverage. The state's Medicaid expenditures will be eliminated and should immediately be moved to offset the cost of free higher education, like every other industrial country.

On the downside, the bad news is: based on a comparison with the insurance companies' employees per capita of Canada 250,000 sales jobs will be lost, there is no need for salespeople; these sales jobs should easily be moved to the manufacturing industry. Taxes paid for The Federal Insurance Contributions Act (FICA) will be increased and a flat tax added to the corporate and personal income rates. The total FICA tax is 15.3%. That percentage is applied to the employee's gross pay. The employer and employee each pay 7.65%. Here is the breakdown of these taxes:

• Within that 7.65%, the OASDI (Old Age, Survivors, and Disability program, AKA, Social Security) portion is 6.2%, up to the annual maximum wages subject to Social Security.

• The Medicare portion is 1.45% for each employee, on all employee earnings.

The new amount of the flat tax will have to be determined by the General Accounting Office and should be added on all earned income tax levels, which will ensure all people pay their fair amount of taxes. The medical portion should only rise 3% to 4% raising each contribution to 10.65% to 11.65%. Included will be the governments' obligation to our military veterans. The rise in the amount collected for the new taxes will be far lower than each person's increase in income.

Our progressive personal income tax system is fair. We realize certain individuals will always make more than others, allowed to keep most of it which are a strong motivator for success. We also realize that when more is given to an individual under our capitalistic system, a strong financial system is required for maintaining our freedom, therefore in the short run more has to be given to the government for the maintenance of the country, maintenance of our capitalistic system and the benefit of its citizens who make it possible. In the future, we will pass legislation for the maintenance of a balanced budget. When the transition is finished, we must allow market forces to stabilize all industries and keep government interference to a minimum.

The country must make the changes advocated or we will be facing financial ruin. Manufacturing creates wealth. Without a strong manufacturing industry, we will become a third world country, with our main industry becoming agriculture. The cost of our products will keep rising because other rich nations will be buying our products and will inflate our costs.

Every candidate for Congress, no matter what party, must support these changes. Any candidate that does not support these changes should not be elected. This is a win, win situation for each party. We can create lower manufacturing costs, create new manufacturing companies and have universal healthcare coverage. It is our responsibility to notify our representatives what we want. It is our responsibility to make sure these changes are implemented.

SALEM, OR, USA, June 11, 2019 / — In a bi-partisan vote of 43-16 on Tuesday, the Oregon House passed an historic measure that will allow Oregon’s Governor to enter into agreements with other consenting states to allow for the legal export of cannabis between state markets. Governor Brown is expected to sign the bill.

Senator Floyd Prozanski, the bill’s sponsor, has been a champion of smart, rational cannabis policy in the Oregon legislature for more than two decades – and a key proponent of the concept.

“This is a very strong statement by the Oregon legislature, and one that will reverberate across the country,” says Sen. Prozanski. “The future of this industry is that cannabis will primarily be grown where it grows best, and most efficiently, and most sustainably. That’s what functioning legal markets do.”

The Oregon Retailers of Cannabis Association (ORCA) has been working with lawmakers to develop a bill to establish a framework for exporting cannabis since 2015. A similar bill was introduced in the 2017 session, where it was voted on by the Senate Judiciary Committee and passed 3-2, but the bill never received a vote in the Senate and died. Last month, the Oregon Senate passed SB 582 in a 19-9 vote.

“This is a major paradigm shift for sure,” says Casey Houlihan, Executive Director of the Oregon Retailers of Cannabis Association (ORCA). “When we started the conversation around cannabis exports four years ago, this was not on the radar of most legislators. But it’s really smart public policy – it’s important to our members, important for our state, and important for the future of the entire cannabis industry. Passing this bill at this critical moment is a testament to the massive value for the industry in building strong relationships with legislators and working to educate our lawmakers in Salem.”

The bill contains a “trigger” requiring that before the governor can enter into such an agreement, the federal government must allow such transfers in federal statute or indicate tolerance via a Department of Justice memo or policy directive. Seen as a long-shot before the session, the bill gained national attention as more and more states explore legalization policies. Under current conventions, every newly legal state must create a self-contained production industry, regardless of economic or environmental suitability.

Houlihan continued, “For years, most members of the legislature have been overwhelmed with implementing cannabis legalization. With the passage of this bill, Oregon’s lawmakers will likely factor in the many positive local impacts of our position as a global leader in cannabis production.”

CLEARWATER, FL, UNITED STATES, June 11, 2019 / — Federal health regulators announced in April 2019 that manufacturers of certain sleeping pills must now include a “black box” warning alerting consumers of the potential for serious or life-threatening side effects.

This is what the agency's safety alert says: “Patients, stop taking your insomnia medicine and contact your health care professional right away if you experience a complex sleep behavior where you engage in activities while you are not fully awake, or if you do not remember activities you have done while taking the medicine.” [1]

The warning is a start, but the Citizens Commission on Human Rights (CCHR) states that this is not enough given the fact that black box warnings on antidepressants have existed since 2004 yet more than 2 million children are on these drugs.

According to CCHR, the Food and Drug Administration’s (FDA) continuing clearance of potentially addictive and dangerous psychotropic drugs and, more recently, electroshock treatment devices, fuels a lucrative $35 billion a year industry at the cost of consumers’ mental health and lives.

CCHR points out that more than 43.6 million Americans each year are now taking antidepressants – once called “miracle pills;” but psychiatrists now claim that the drugs don’t work in one out of every three people taking them. “Side effects” of antidepressants include suicidal thoughts and violence-related effects— “hardly a recipe for improving depression,” says CCHR. [2]

“The marketing of dangerous drugs is big business in this country and the FDA’s black box warnings fail to adequately protect consumers,” said Diane Stein, president of the Florida chapter of CCHR. “Quite likely pharmaceutical companies and psychiatrists view these warnings merely as the cost of doing business.”

Dr. Ilene Rosen, a professor of clinical medicine at the University of Pennsylvania's school of medicine reports that she has been telling her patients about these risks for the last 15 years. She also states that the sleep community is well aware of the dangers mentioning that these types of drugs were not part of the “formulary” of recommended drugs at the hospital for inpatients at the University of Pennsylvania because of their connection to sleepwalking, falls and other problems.

In 2012 a study linked hypnotic sleep aids such as zolpidem, eszopiclone, zaleplon and others to a higher risk of early death. This includes patients who only took 18 pills a year! And those who were prescribed the most hypnotics were 35% more likely to develop a new cancer after only 2.5 years of follow up.

That study only showed “associations” rather than direct cause and effect. But in 2018 a review concluded that “hypnotics are related to serious illnesses and premature deaths from cancer, serious infections, mood disorders, accidental injuries, suicides and homicides.” [3]

Since insomnia drugs and other dangerous pharmaceuticals such as anti-depressants are still on the market, FDA warnings appear as a mere hand slap. The bottom line is that pharmaceutical companies are making a lot of money from these drugs and there appears to be little, if any concern for the health and safety of the consumers.
